NO PURCHASE OR PAYMENT NECESSARY. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING.

  1. ELIGIBILITY. Shop Like a Millionaire Game (the “Game”) is open only to legal residents of CO, GA, IA, IL, IN, KS, MI, MN, MT, NC, ND, NE, OH, PA, SC, SD, VA, WI, WV and WY who are 18 years of age or older. Employees of the following business entities may not participate in the Game: Nash Finch Company (“Sponsor”) and its parent, subsidiaries or affiliates; Paradigm Partners Inc. and its parent, subsidiaries or affiliates; the Promotion Coach and its parent, subsidiaries or affiliates; SCA Promotions, Inc. and its parent, subsidiaries and related entities; participating retailers and their subsidiaries or affiliates; advertising and promotion agencies engaged as part of this Game and their subsidiaries or affiliates; and suppliers of Game materials and services and their subsidiaries or affiliates (all jointly referred to as “Business Participants”). Further, members of the immediate family of an employee of a Business Participant and members of the household of an employee of a Business Participant may not participate in the Game. “Immediate family” of an employee includes a spouse, parent or step-parent, sibling or step-sibling, and son or daughter or step-son or step-daughter of the employee. “Members of the household” of an employee of a Business Participant include anyone who has shared the same residence with the employee for at least three (3) months out of the most recent 12-month period, whether or not the member of the household is related to the employee. A person participating in the Game is called an “entrant” in these Official Rules. All winning materials presented to claim a prize or an “instant win” will be subject to confirmation of the entrant’s eligibility to participate in the Game (confirmation shall be to the Sponsor’s reasonable satisfaction before any prize is awarded) and all prize claims will be subject to validation that all conditions to claim a prize have been fulfilled. No prize will be awarded and no “instant win” will be honored without verification of eligibility and validation that conditions for awarding of the prize have been met.
  2. GOVERNING PRINCIPLES. The Game is subject to all applicable United States federal, state and local laws and regulations. Participation constitutes the entrant's full and unconditional agreement to these Official Rules and unconditional promise to abide by Sponsor’s decisions about the Game, which are final and binding in all matters related to the Game. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void where prohibited or restricted by law.
  3. PROMOTION DATES. The Game starts on or about April 4, 2010 and is scheduled to terminate on or about June 26, 2010. The Game officially ends on June 26, 2010 or, as to a particular participating retailer, on such earlier date on which all game tickets have been distributed. However, if after June 26, 2010, a participating retailer has additional tickets left over and wishes to distribute them, the retailer may do so, but in no case shall a retailer distribute leftover tickets after July 10, 2010. Claims for all prizes must be submitted by July 31, 2010 or the prize will be forfeited. Any prize claims proffered or submitted after July 31, 2010 will not be honored. UNCLAIMED/UNREDEEMED PRIZES WILL NOT BE AWARDED.
  4. HOW TO PLAY. Get a game board and game tickets from a participating retailer, while supplies last. Alternatively, an entrant can request a game ticket by mail, while supplies last by sending a self-addressed, stamped envelope (“SASE”) to “Shop Like A Millionaire,” P.O. Box 398168, Edina, MN 55439. Mail-in requests, including both outer envelope and SASE, must be handwritten and must be postmarked on or before June 26, 2010 and must be received by no later than July 3, 2010. Each request must be sent in a separate, stamped outer mailing envelope with the requestor’s first and last name, street address, city, state and zip or postal code (name and address must match the return name and address on SASE), legibly handwritten in the upper left hand corner of the outer envelope. There is no cost to get a game board or game ticket. There is a limit of one game ticket per eligible entrant per day. (For an entrant who requests a ticket by mail, the entrant will receive one game ticket per day per written request.) For purposes of these Official Rules, a “day” is defined as any 24-hour period during the promotion period beginning at 12:00 a.m. (midnight) and ending at 11:59 p.m. Approximately 9,785,000 game tickets will be available for distribution among all participating retailers in the various states where the Game is operated. As the promotion progresses, some participating retailers may run out of game tickets before others. In addition, some participating retailers may run out of game tickets before June 26, 2010, and in this situation, the participating retailer shall have no obligation to provide an entrant with a ticket.
  5. TWO WAYS TO WIN PRIZES. There are two ways to win a prize: (1) Collect-to-Win and (2) Instant Win. Collect-to-Win and Instant Win prize claims are subject to validation procedures and confirmation of eligibility. Winners are declared and prizes are awarded only if all conditions of these Rules are met.

    To play, carefully open the game ticket by tearing off the perforated portions. Upon opening the ticket, game play commences as follows.

    Collect-to-Win: The right side of the open ticket will reveal four pre-glued markers, each imprinted with a number and a graphic image that correspond to a numbered spot and a graphic image on the game board. Carefully remove each marker from the right side of the open game ticket, moisten the glue strip on the back of each one and adhere each marker to the corresponding location on the game board. Do not affix game markers to the game board with additional glue or tape or in a permanent manner, as doing so may cause the entrant to forfeit any prize. Doing so may result in disqualification at discretion of Sponsor. If you collect ALL the markers that correspond to a prize on the game board, you win that prize subject to the verifications discussed in these Rules.

    Instant Win: The left side of the open ticket will reveal a product image, a grocery product coupon, or an “Instant Win $1.00” prize message. If the left side of your open ticket tells you that you are an “Instant Win $1.00” winner, you win that prize, subject to verification. Follow instructions below to claim your prize. If the left side of your ticket reveals a product coupon, it may be redeemed at the participating retail store.

  6. HOW TO REDEEM A COLLECT-TO-WIN PRIZE. To claim a Collect-to-Win prize, an entrant must bring the game board with markers attached (but not taped, additionally glued, or permanently affixed) to the participating retail store for initial verification as described in these Rules.  An entrant may only present his/her own game board to a participating retailer for initial verification. The entrant must not allow any employee or other representative of the store to touch or handle the game board or the markers until the entrant has initialed the markers, filled out the information required on the game board, and filled out the prize claim form—all as described below. The entrant must have all winning markers associated with the prize indicated on the game board. In the presence of an authorized store representative, in cursive writing, the entrant must initial the face of each game marker that corresponds to the prize being claimed, must fill out the information required on the game board, and must complete a prize claim form provided by the authorized store representative. If an entrant has won a Collect-to-Win prize valued $200 or less, the prize—if verified and all other conditions are met—will be awarded in-store. If the entrant has collected all game markers corresponding to a prize valued over $200 (“High Level Prize”), the entrant must complete a prize claim form in the store according to the instructions of an authorized store representative. The store will forward the form and game materials to Prize Headquarters for official review and possible final verification that all conditions are met, that the entrant has won the prize claimed, and confirmation of the entrant’s eligibility. If an entrant is declared a winner of a High Level Prize, the entrant will be contacted on or around August 1, 2010 regarding the awarding of the prize, using the contact information the entrant provided on the prize claim form. The store will provide a copy of the prize claim form to the entrant and will make and file a photocopy of other submitted materials (game board, game tickets, markers), as once these materials are forwarded to Prize Headquarters, they become the property of the Sponsor and will not be returned to the entrant. Until Prize Headquarters has notified the entrant, the entrant is a potential winner of a collect-to-win prize and does not become an actual winner until Prize Headquarters determines that all conditions are met and until the entrant has completed all paperwork and signed all forms required for a prize to be awarded.

  7. HOW TO REDEEM AN INSTANT WIN PRIZE. To redeem a $1 cash Instant Win prize, the entrant should bring the game ticket to an authorized representative of a participating retail store. To redeem a “cents-off” coupon, the entrant should take the game ticket to a participating retailer and present it with the specified product.

    *Sponsor will contact a winner directly (once he/she is verified to have won, is confirmed to be an eligible Game participant, and has met any other conditions of these Rules) to coordinate delivery of the vehicle. Vehicle will be delivered with standard equipment for make and model. Upgrades and options, if available, are at the sole cost of winner. Winner may not have a choice of color. Title, taxes, registration, license, and similar fees and insurance costs are the sole responsibility of the winner. Winner will be required to show proof of currently valid U.S. driver’s license and current, valid insurance covering the new vehicle prior to taking delivery of the vehicle. The prize will be delivered to a dealer near the winner’s residence (as determined by Sponsor) and if the winner does not personally pick up the prize within 30 days of the date on the delivery notice, the prize will be forfeited. Transportation to/from dealer to pick up the vehicle is the sole responsibility of the winner. The Sponsor shall not be responsible for delays in delivery of the prize vehicle, and delivery is subject to continuing availability of this product. The Sponsor, however, shall use all reasonable efforts, subject to continuing availability of this product, to deliver the prize vehicle within 120 days of completion of the verification process described in these Rules. The winner shall bear all risk of loss or damage to the prize vehicle after it has been delivered to the specified dealer delivery site. The vehicle will be delivered solely with the express limited warranties set forth in the vehicle’s Owner’s Guide, which shall run for the term set forth in said Owner’s Guide. A winner may select a cash option of $25,000 in lieu of the vehicle. Should the winner opt to receive the cash as their sole prize choice, they will not receive any additional compensation, prize or award. Approximate retail value of the cash option is $25,000.

    **A winner will be awarded a $3,000 travel budget to be redeemed through a Sponsor-assigned travel agent who will design a trip of the winner’s choice. Winner and any travel companion(s) must travel together on the same itinerary. Air travel arrangements, destination, accommodations, and duration of stay are dependent upon details of the travel package chosen, with a maximum value of $3,000. In no event will the prize value exceed $3,000. Additional costs including but not limited to a longer stay, additional airfare or accommodations, car rental, meals, gratuities, souvenirs and other incidentals in excess of the $3,000 will be the sole responsibility of winner. Accommodations, air reservations, and other travel options are subject to availability, and must be scheduled within 90 days of completion of the verification process. If the winner is unable to schedule trip within this time period, the prize will be forfeited. The winner and travel companion(s) are responsible for all travel documents and all additional expenses associated with obtaining travel documents. Approximately 21 days prior to travel, travel companion(s) accompanying the winner must sign and return a release of liability and a publicity release. If a winner is traveling with a minor, the minor must be accompanied on the trip by a custodial parent or legal guardian, and the custodial parent or legal guardian must provide proof of status and sign and return within the timeframes specified all required documents required by the Sponsor for the minor to travel.

    The ARV of any prize is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. If the actual purchase price of a prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash, or other form of payment or adjustment for the price difference.

    ***Neither Ford Motors of North America, Samsung Electronics, Nintendo Wii nor any of their parent and subsidiary companies are in any way sponsors or affiliates of the Game.

  9. $1,000,000 FIRST GRAND PRIZE. A $1,000,000 first grand prize will also be available. All winners of the $20,000 cash prize will be entered into a random drawing to determine one bonus round winner who will have the opportunity to participate in the “High Five Money Bags” game for a chance to win up to $1,000,000. Odds of being randomly chosen for an opportunity to play for the $1 million first grand prize amongst the verified and confirmed winners of the $20,000 cash prize are 1:5 or better, depending upon the number of verified $20,000 winners. The “High Five Money Bags” game will take place during an in-store event at the store where the winning game board was obtained, at a time that is mutually agreed upon by the Sponsor and the random drawing winner, no later than August 15, 2010. To play the “High Five Money Bags” game, the selected player will be presented with 40 identical, sealed, and unmarked envelopes, each containing a card specifying $20,000 or a bonus amount of +$20,000, +$40,000, or +$1,000,000 (bonus amount to be paid in addition to $20,000 already won). The random drawing winner will be given the opportunity to randomly open the envelopes until five identical cards, each bearing the same monetary amount, have been revealed among the envelopes opened. Once five identical monetary amounts have been revealed, the player wins the amount stated on the five identical cards. Envelopes will be seeded as follows:

  10. $500,000 SECOND GRAND PRIZE. A $500,000 second grand prize will also be available. All winners of the 2010 Ford Escape Hybrid SUV prize will be entered into a random drawing to determine one bonus round winner who will have the opportunity to participate in the “High Five Money Bags” game. Odds of being randomly chosen for an opportunity to play for the $500,000 second grand prize amongst the verified and confirmed winners of the Ford Hybrid SUV prize are 1:5 or better, depending upon the number of verified SUV winners. The “High Five Money Bags” game will take place during an in-store event at the store where the winning game board was obtained, at a time that is mutually agreed upon by the Sponsor and the random drawing winner, no later than August 15, 2010. To play the “High Five Money Bags” game, the selected player will be presented with 40 identical, sealed, and unmarked envelopes, each containing a card specifying Ford Hybrid SUV or a bonus amount of +$10,000, +$20,000, or +$500,000 (bonus amount to be paid in addition to Ford Hybrid SUV already won). The random drawing winner will be given the opportunity to randomly open the envelopes, until five identical cards, each bearing the same message, have been revealed among the envelopes opened. Once five identical messages  (Ford Hybrid SUV or monetary bonus amount) have been revealed, the player wins what is stated on the five identical cards.

  11. “HIGH FIVE MONEY BAGS” GAME CONDITIONS. Players selected to participate in bonus rounds as described in rules #9 and #10 above are responsible for appearing at the designated store, on time for the “High Five Money Bags” game, at their own expense. No additional envelopes may be opened by a participant in the “High Five Money Bags” game after five identical messages have been revealed. If a selected player continues to open envelopes after five envelopes containing cards with five identical messages have been opened, then the Sponsor is relieved of all liability to award any additional prize and no additional monetary prize will be awarded beyond the $20,000 or the Ford Hybrid SUV the player has already won. In the event that no $20,000 and/or Ford Hybrid SUV prize winners are verified in the Game, a random drawing will be held from among all winners of High Level Prizes to determine participant(s) in the “High Five Money Bags” game bonus round(s). Odds of being randomly chosen for an opportunity to play in such situation are dependent on the number of High Level Prize winners verified during the Game.

    A selected player must personally participate in the “High Five Money Bags” game, and may not select a substitute or replacement to participate on his/her behalf. On the day of the “High Five Money Bags” game, the selected player must show a current, state-issued identification card (such as a driver’s license, a state-issued i.d. card, or a passport) to verify identity and may be asked to sign forms acknowledging age, identity, status as a legal resident of the U.S., and other eligibility factors—or allow Sponsor to verify any of the above eligibility standards. The selected player may also be required to sign additional forms such as a release of liability and other documents waiving or releasing legal claims against the Sponsor and the Sponsor’s contractors.

  12. PRIZE CONDITIONS AND SPECIFICATIONS. Total approximate retail value of all prizes available is $2 million. All prizes or portions of the prizes are non-assignable and non-transferable. Prizes pictured in point-of-sale, print advertising, and other game materials are for illustrative purposes only. Actual prizes may vary from the prizes pictured. Sponsor in its sole discretion may reasonably interpret and apply these Rules. Prizes have no cash alternative unless otherwise noted, and no prize substitutions are allowed, except that Sponsor reserves the right to substitute a prize(s) of comparable value if any prize listed is unavailable, in whole or in part, for any reason. The Sponsor or Paradigm Partners may issue a Form 1099 to appropriate taxing authorities, in its discretion, for any prize valued at over $600, and each prize winner shall be solely responsible for paying any and all federal, state and/or local taxes associated with the prize. Each prize winner is further responsible for reporting the prize or the value of the prize to the IRS and other appropriate taxing authorities and is responsible for any other fees or costs associated with the applicable prize. By accepting a prize, winner waives the right to assert or claim that as a cost of winning the prize, Sponsor or any third party is responsible to pay any and all costs of redemption or travel to redeem the prize. By accepting a prize, the winner further acknowledges that neither Sponsor nor Paradigm Partners Inc. (and none of their respective parent companies, affiliates, subsidiaries, distributors, sales representatives, employees, sub-contractors, advertising/promotional agencies and suppliers and printers of promotion materials and the employees, contract workers, officers, directors and agents of the above organizations) have made or are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.
  13. NOTICE. The Game is subject to all applicable federal, state and local laws and regulations. All Instant Win prize coupons and game materials (game boards, game tickets, game markers, and similar materials) submitted for prize claim verification become property of Sponsor and will not be returned. By playing, each entrant agrees to abide by and be bound by these rules and decisions of Sponsor and Paradigm Partners, Inc., and SCA Promotions, Inc., whose decisions are final and binding in all respects.
  14. VALID MATERIALS. Only materials with “Series PTW1004” printed on them are valid for this Game. Game materials are automatically void if they are or appear to be illegible, forged, defaced, reproduced, counterfeit, mutilated, or tampered with in any way, or if they are obtained outside authorized, legitimate channels, or if they contain typographical, mechanical, production or other errors. Sponsor reserves the right to disqualify an individual who is actually or who is attempting to undermine the legitimate fair play of the Game by using an electronic system, by reproducing, copying, or tampering with, or counterfeiting game pieces, or by any means or in any manner which unfairly increases an entrant’s chance to win. Liability for game tickets containing mechanical or other errors is limited to replacement with another randomly selected game ticket, while supplies last. Any attempt to defraud or to counterfeit or forge game materials will be prosecuted to the fullest extent of the law.
  15. PRIZE CLAIMS. If due to printing, production or other errors, more prizes are claimed than intended, the intended prize will be awarded in a random drawing from all those submitting purportedly valid claims. No more than the number of prizes set forth in these Official Rules will be awarded. ALL POTENTIAL WINNING OFFICIAL GAME MATERIALS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ITS FULFILLMENT CONTRACTOR, WHOSE DECISIONS ARE FINAL AND BINDING. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE, EVEN IF HIS/HER OFFICIAL GAME MATERIALS SHOULD SO INDICATE, UNLESS AND UNTIL THE PARTICIPANT’S ELIGIBILITY AND THE OFFICIAL GAME MATERIALS HAVE BEEN VERIFIED AND ALL OTHER CONDITIONS SPECIFIED IN THESE RULES ARE MET AND THE PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND THAT THE ENTRANT WILL BE AWARDED THE PRIZE CLAIMED.
  16. RELEASES. By playing, entrant releases Sponsor and Paradigm Partners, Inc., their respective parent companies, affiliates, subsidiaries, distributors, sales representatives, advertising/promotion agencies and suppliers of game materials, game material designers and printers, and the employees, contract workers, officers, directors and agents of any of the above organizations from any and all liability for any and all costs, judgments, claims, injuries, losses or damages of any kind, including, without limitation, death and bodily injury or emotional or psychological injury, due in whole or in part, directly or indirectly, to participation in the Game or in any Game-related activity, or from entrants’ acceptance, receipt, possession, and/or use or misuse of any prize. Participant further agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Game, or any prizes awarded, other than those concerning the administration of the Game or the determination of winners, shall be resolved by each individual entrant, separately, without resort to any form of class action; (ii) any and all claims, judgments, damages, and awards shall be limited to actual out-of-pocket costs incurred and proved by the entrant, including direct and actual costs associated with entering this Game, but in no case shall the Sponsor, or Paradigm Partners, Inc. or any of their employees be responsible for attorneys' fees and related costs; and (iii) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses and any and all rights to have damages multiplied or otherwise increased regardless of whether Sponsor receives notice that such damages may occur. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

    By accepting a prize, entrant agrees to the use of his/her name, city, and state, photograph, likeness, and/or statements made by the winner regarding the Game for advertising, publicity and promotional purposes in the U.S. without limitation and without further compensation, except where prohibited by applicable law. Winners of prizes valued at $600 or more will be required to sign and return an affidavit of eligibility, a liability release and, unless prohibited by law, a publicity release, within 10 days of first attempted notification that a prize will be awarded. In the event of failure to sign the publicity release or any other documents and return them as specified and in a timely manner, or if the prize or the prize notification is returned as undeliverable, the prize will be forfeited and will not be awarded.

  17. DISCLAIMER. Sponsor is not responsible or liable for incomplete, illegible, misdirected, misprinted, undelivered, undeliverable, late, lost, damaged, stolen, or postage-due prize claims or prize notifications. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor reserves the right to cancel, suspend and/or modify the Game, or any part of it, if any fraud or any other factor beyond the Sponsor’s reasonable control impairs the integrity or proper operation of the Game, as determined by the Sponsor in its sole discretion.
  18. GOVERNING LAW/JURISDICTION. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE GAME SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF MINNESOTA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATES’ LAWS.
